Terms of Service

These terms govern your use of the websites, calculator and API, including the DueDate API at duedateapi.com (the "Service"), provided by Talbot Global Industries LLC, an Arizona limited liability company ("we", "us"). By using the Service you agree to them. If you use it for an organization, you agree on its behalf and confirm you have authority to do so.

1. Accounts and API keys

Keep your API keys secret. You are responsible for activity under your keys. Tell us promptly if a key is compromised.

2. License

Subject to these terms and your plan, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to use the Service and API during your subscription for your organization's business purposes.

3. Ownership

We and our licensors keep all rights in the Service, including the software, API, documentation and our compilation of rules and holiday data. You keep all rights in the inputs you submit, and you give us permission to process them to provide the Service. Feedback you send us may be used without obligation.

4. Acceptable use

Do not misuse the Service: no unlawful use, no attempts to break security or rate limits, no reselling raw access without our written permission, and no use that harms other customers.

5. Free plan

The Free plan is provided "as is" at no charge. We may limit, change or discontinue it at any time.

6. Plans, payment and automatic renewal

Paid plans are billed monthly in advance through our payment processor (Stripe). Your subscription renews automatically each month until you cancel. You can cancel at any time in the billing portal or by emailing us; cancellation takes effect at the end of the current billing period. Usage over your plan's limits may be refused. We may change prices with at least 30 days' notice before your next renewal.

7. Taxes

Prices do not include sales, use, value-added or similar taxes. Where we are required to collect them, we add them to your invoice.

8. Suspension

We may suspend access for non-payment, for a chargeback, or for abuse or a security risk. Where practical we will give notice first and restore access once the issue is resolved.

9. Results are not advice

The Service calculates dates from rules and holiday data that may be incomplete or out of date. Results are not legal, tax or financial advice. You are responsible for checking any critical deadline against an official source.

10. Availability and changes to the Service

We aim for reliable service but do not guarantee it will be uninterrupted or error-free. We may change or discontinue features and will give reasonable notice of material changes.

11. Disclaimer and limitation of liability

The Service is provided "as is" without warranties of any kind, to the extent the law allows. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim. We are not liable for indirect or consequential losses, including missed deadlines, late fees or lost discounts.

12. Your indemnity

You will defend and indemnify us against third-party claims, losses and costs arising from your misuse of the Service or your use of it in violation of law or these terms.

13. Termination

You can stop using the Service and cancel at any time. We may suspend or end access for breach of these terms.

14. Changes to these terms

We may update these terms by posting a new version here with a new date. For material changes that affect paid plans, we will give at least 30 days' notice by email. Continuing to use the Service after changes take effect means you accept them.

15. Notices

We send notices to the email address on your account. You can send notices to hello@talbotglobalindustries.com.

16. Governing law and venue

These terms are governed by the laws of the State of Arizona, USA. Any dispute will be resolved in the state or federal courts located in Maricopa County, Arizona, and both parties consent to their jurisdiction.

17. General

If any part of these terms is unenforceable, the rest stays in effect. These terms are the entire agreement between us about the Service. You may not assign them without our written consent; we may assign them to a successor in a merger, acquisition or sale of our business. Neither party is liable for delays caused by events beyond its reasonable control.
